Program Overview & Terms

Tempur Retail Stores, LLC

Designed to support interior designers, architects, and other qualified trade professionals by offering a quarterly rebate based on total qualified purchases made through participating Tempur-Pedic® Flagship Stores ("Tempur-Pedic®").

Who is Eligible?

The trade program is open to qualified professionals, including:

Interior Designers
Interior Decorators
Architects
General Contractors

Applicants must upload a completed W-9 and at least 3 current and accurate business credentials and documents from the following list. Tempur Retail Stores, LLC may request additional information, require re-verification, and deny, suspend, or revoke participation if any information is incomplete, inaccurate, expired, or otherwise unsatisfactory:

Valid Membership in a Major Design Organization (e.g. ASID, IIDA, AIA, NKBA, IDC)
Interior Design Certification (e.g. NCIDQ, CCIDC)
Valid Business License Verifying Your Business in Residential Design
Valid EIN Demonstrating an Active Residential Design Business
Business Website | Professional Portfolio
Social Media Account(s) (e.g. Instagram)

The approval process can take up to 3 business days. Program approval, denial, suspension, revocation, and re-verification are at the sole discretion of Tempur Retail Stores, LLC.

The program is not open to businesses that do not focus on residential design.

The Tempur-Pedic® Flagship Stores Trade Program may only be used by the named account holder.

How the Rebate Works

This program offers a quarterly rebate, not special or discounted pricing at the time of purchase.

Rebates are calculated on Net Qualified Purchases made within each calendar quarter. "Net Qualified Purchases" means gross sales less returns, exchanges, taxes, and fees.

Rebate tiers are based on Net Qualified Purchases made during the applicable calendar year.

Net Qualified Purchase totals reset to zero at the beginning of each calendar year for purposes of determining rebate tier eligibility.

Rebate Structure

20% rebate on Net Qualified Purchases made after the trade member's cumulative Net Qualified Purchases exceed $50,000 during the applicable calendar year. Purchases made before the $50,000 threshold will remain eligible for a 15% rebate and will not be adjusted retroactively.

Rebate percentages are subject to change at any time without prior notice and will apply prospectively unless Tempur Retail Stores, LLC determines that a rebate should be withheld, reduced, forfeited, or recovered due to fraud, misuse, return activity, payment failure, ineligibility, or violation of these terms.

Eligible Purchases

Purchases must be made through a participating Tempur-Pedic® Flagship Store and must be paid in full, not returned, and otherwise eligible under these terms. Returns, exchanges, credits, discounts, taxes, delivery fees, service charges, financing changes, and other excluded amounts are excluded from rebate calculations.

Not all Tempur-Pedic® locations participate in the Trade Program. Participation is limited to designated Tempur-Pedic® Flagship Stores identified by Tempur Retail Stores, LLC.

Tempur Retail Stores, LLC reserves the right to designate certain products, services, promotional items, floor models, clearance merchandise, gift cards, or other categories as ineligible for rebate accrual.

Returns & Exchanges

Returns:

If a qualifying purchase is returned, the rebate associated with that purchase will not be paid. If a rebate has already been issued for a returned purchase, the rebate amount will be deducted from the next quarterly rebate payment.

Exchanges:

If a qualifying purchase is exchanged, the rebate will be calculated based on the final Net Qualified Purchase amount actually paid for and retained by the trade member after the exchange.

If the rebate has not yet been paid, it will be calculated and paid based on the final Net Qualified Purchase amount after the exchange.
If the rebate has already been paid, any overpayment or underpayment resulting from the exchange will be deducted from or added to the next quarterly rebate payment, as applicable.

Rebate Payment

Rebate payments are issued quarterly and will be paid within 60 days following the close of each calendar quarter, subject to verification of eligibility, completed tax documentation, return activity, and compliance with these terms.

Eligible purchases must be fully paid and delivered for at least least ninety (90) days before rebate processing. Purchases that have not satisfied the ninety (90) day post-delivery period will be deferred to a future rebate cycle.

Rebate payments are based on Net Qualified Purchases. Rebates may be issued as a check or other approved payment method. Rebate payments are not redeemable for cash at the point of sale and cannot be applied as an instant discount.

Trade members agree to maintain records supporting program eligibility and qualifying purchases for at least two (2) years following the applicable transaction date and provide such records upon reasonable request.

Ordering & Payment

Approved Trade Partners are solely responsible for all payment of all purchases made under the Trade Program. All purchases must be paid in full at the time of order by credit card, business check, cash, or cashier check.

Financing offers are not available for Trade Program transactions.

Tempur-Pedic® reserves the right to withhold fulfillment of any order until payment has been received and verified. Trade members are responsible for all applicable taxes, service charges, delivery fees, and other charges not expressly included in the rebate calculation.

Trade members must provide end user client with proof of purchase for any exchanges or warranty claims.

Tempur Retail Stores, LLC may communicated directly with end customers regarding order fulfillment, delivery scheduling, customer service, warranty claims, recalls, customer satisfaction, product support, and other matters related to the purchased products. Participation in the Trade Program does not restrict or limit Tempur Retail Stores, LLC's ability to communicate directly with end customers regarding their purchases.

Tax Compliance

Trade members are solely responsible for all federal, state, local, and other taxes arising from or related to any rebate or other program benefit. Before any rebate is paid, Tempur Retail Stores, LLC will require the trade member to provide a completed Form W-9, taxpayer identification number, and other tax documentation reasonably requested.

Tempur Retail Stores, LLC may report rebate payments to taxing authorities, issue applicable information returns, withhold amounts, or delay payment as required or permitted by law.

Program Use & Restrictions

The Trade rebate program is intended solely for the approved trade member. Rebates may not be transferred, assigned, or shared. Products cannot be purchased for inventory, wholesale distribution, resale, online marketplace sale, unauthorized commercial use, or any other purpose inconsistent with the program.

Purchases made for resale or unauthorized commercial use will be excluded. Tempur Retail Stores, LLC reserves the right to review purchases, request supporting documentation, audit program activity, suspend or terminate participation, adjust rebate eligibility, offset overpayments against future rebates, and require repayment if misuse is identified.

Trade members may not advertise, describe, or promote the program in a manner that is false, misleading, or inconsistent with these terms. Any reference to program benefits must clearly state that the benefit is a quarterly rebate subject to eligibility, verification, exclusions, and these terms, and not a point-of-sale discount or guaranteed price reduction.

Designers do not own any interest in TEMPUR® trademarks, service marks, names, identifying symbols, logos, tag lines, domain names, URLs, or any other indicia of origin related to, owned by, used or associated with Tempur Retail Stores, LLC or its Affiliates or the goodwill thereof ("IP"). Designers will refrain from making any claims or asserting any right or interest in the IP. Designers have no right or authority to use, display, license, or in any way benefit from such IP in any manner except for truthful, non-misleading nominative references to Tempur-Pedic® products in connection with bona fide client projects. Designers will not indicated, and Tempur Retail Stores, LLC grants no permission for Designer to indicate that Designer is endorsed, sponsored, authorized, or approved by Tempur Retail Stores, LLC or any of its affiliates.

Trade members are independent businesses and are not employees, agents, representatives, franchisees, dealers, distributors, partners, or joint venturers of Tempur Retail Stores, LLC or its Affiliates. Trade members have no authority to bind Tempur Retail Stores, LLC or its Affiliates, make statements or warranties on their behalf, or represent that they are endorsed, sponsored, authorized, or approved by Tempur Retail Stores, LLC or its Affiliates.

Trade members may provide client information to Tempur Retail Stores, LLC only if they have all rights, notices, and consents required to do so. Tempur Retail Stores, LLC may collect, use, retain, and disclose client and transaction information in connection with program administration, order fulfillment, customer service, compliance, fraud prevention, and other purposes described in Tempur Retail Stores, LLC's applicable privacy notice. Trade members may not submit sensitive personal information or information about a client unless requested by Tempur Retail Stores, LLC and authorized by the client.

Program Changes & Termination

Tempur Retail Stores, LLC reserves the right to modify, suspend, or terminate the Trade Rebate Program, including rebate percentages, eligibility, participating locations, eligible products, and payment methods, at any time without prior notice. Unless Tempur Retail Stores, LLC states otherwise, changes will apply prospectively to purchases made after the effective date of the change. Continued participation constitutes acceptance of current program terms.

Limitation of Liability; Disputes

To the maxiumu extent permitted by law, Tempur Retail Stores, LLC's total liability arising out of or related to the program will not exceed the amount of unpaid rebates properly earned by the trade member under these terms. Tempur Retail Stores, LLC will not be liable for indirect, incidental, consequential, special, punitive, exemplary, or lost-profit damages. Any dispute concerning the program must be submitted in writing to Tempur Retail Stores, LLC within 90 days after the rebate payment or other program decision at issue. These terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
